How to Start an LLC in the USA as a Non-Resident in 2026: Step-by-Step Guide

How to Start an LLC in the USA as a Non-Resident in 2026: Step-by-Step Guide

You can own a US company from abroad. However, the process has more moving parts than most guides admit. This guide from USABusinessDaily walks you through each step, from choosing a state to filing your first tax forms.

Yes, non-US residents can own a US LLC. You do not need US citizenship, a visa, or an SSN to form one. You choose a state, appoint a registered agent, file formation documents, and then apply for an EIN through the IRS international route. Taxes and reporting duties may still apply, including Form 5472.

Can a Non-US Resident Start an LLC in the USA?

Generally, yes. States let foreign nationals own and manage LLCs. This is why LLC in USA for foreigners is such a common search.

Still, two points need care.

First, owning an LLC is not the same as living in the US. An LLC does not give you a visa, residency, or permission to work in the United States. Immigration law is a separate matter.

Second, forming an LLC does not remove tax duties. Many founders assume “no US office” means “no US filings.” That assumption is expensive, as the tax section below shows.

Who this guide helps

This guide suits founders who want to start a US company as a foreigner. Typical examples include:

  • E-commerce sellers
  • SaaS founders and developers
  • Freelancers and consultants
  • Agencies that sell to US clients

When an LLC may not be the right structure

An LLC is flexible and simple. Even so, it is not always the best fit. Investors often prefer a Delaware C corporation because it fits standard fundraising documents. If you plan to raise venture capital, speak with a US business attorney before you file. For many service businesses and online stores, an LLC works well.

What Is the Best State for a Non-Resident LLC?

There is no single winner. The best state for non-resident LLC formation depends on your business model, budget, and where you actually operate. For a deeper breakdown, read our guide on Wyoming vs Delaware vs New Mexico.

StateFormation feeAnnual state chargeBest fit
Wyoming$100$60 minimum (annual report license tax)Low recurring cost, privacy-minded founders
Delaware$110$400 flat annual tax, due June 1Investor-backed or legally complex plans
New Mexico$50$0 (no annual LLC report)Lowest ongoing state paperwork

Fees checked October 2026 against published guidance. Confirm each amount with the Wyoming Secretary of State, the Delaware Division of Corporations, and the New Mexico Secretary of State before you file.

Delaware’s tax went up in 2026

Many older guides still list Delaware’s annual LLC tax as $300. That figure is outdated. Delaware’s House Bill 400 raised the flat annual tax on LLCs from $300 to $400, starting January 1, 2026. Because Delaware collects this tax a year in arrears, the higher amount first appears in payments due in 2027.

Wyoming, Delaware, and New Mexico in brief

Wyoming has a low formation fee and a $60 minimum yearly charge. The charge rises if your Wyoming assets exceed $300,000.

Delaware has deep legal precedent and is familiar to investors. The trade-off is the higher annual tax.

New Mexico charges only the filing fee and has no annual LLC report. As a result, it has the lightest state-level upkeep.

Where you actually operate matters more

A state’s reputation is less important than your real activity. For example, if you hire staff, rent space, or hold inventory in another state, you may need to register there too. Likewise, many states apply sales tax rules based on your sales volume into the state. Forming in a “cheap” state does not erase those duties.

How to Start a US LLC in 9 Steps

Here is how to form a US LLC as a non-resident, in the right order.

  1. Choose a state. Use the table above and your business footprint.
  2. Choose a name. Search the state’s business database. The name must be available and include “LLC” or an accepted variant.
  3. Appoint a registered agent. Every state requires one. See the next section for details.
  4. File formation documents. Most states call this the Articles of Organization. Delaware calls it a Certificate of Formation.
  5. Prepare an operating agreement. It is usually not filed with the state. Even so, banks often ask for it.
  6. Apply for an EIN. The LLC must exist first.
  7. Prepare for banking. Gather your identity, formation, and business documents.
  8. Set up bookkeeping and tax compliance. Decide who prepares your federal forms.
  9. Track ongoing filings. Calendar every deadline immediately.

Do you need a US address?

You need a registered agent with a physical street address in your formation state. A P.O. box does not qualify. That address is not automatically your business address, your mailing address, or an address a bank will accept. Check the intended use before you buy any address service. For more detail, see our guide to registered agent for non-residents.

Operating agreement basics

A single-member LLC can use a short agreement. It should state who owns the company, how profits are handled, and who has authority to sign. This document also helps when a bank reviews your application.

How Much Does a US LLC Cost for a Non-Resident?

Formation fees are only the start. A fair estimate includes recurring state charges, a registered agent, tax preparation, and bookkeeping.

State fees over three years

This table shows government charges only. It counts formation plus the first two annual payments.

StateFormationTwo annual paymentsThree-year state total
Wyoming$100$120$220
Delaware$110$800$910
New Mexico$50$0$50

Assumptions: Wyoming at the $60 minimum; Delaware at the $400 flat tax; no online processing surcharges, registered agent fees, or tax preparation included.

Costs that sit outside the state fee

CostWhat to know
Registered agentPrices vary by provider. Ask for the renewal rate, not just the first-year price.
EINThe IRS charges nothing. Paid helpers may charge a service fee.
Federal tax preparationGet quotes for Form 5472 and the pro forma Form 1120.
BookkeepingDepends on transaction volume.
Optional servicesAddress services, compliance reminders, and similar add-ons.

The cheapest setup is not always the cheapest to maintain. For example, New Mexico costs $50 and then nothing in state fees. Delaware costs $110 and then $400 each year. Compare the full picture before you commit.

How to Get an EIN Without an SSN

An EIN is a federal tax ID for a business. It is not a personal tax number. Because of this, you can obtain an EIN for foreign-owned LLC structures without an SSN. Our dedicated guide explains how to get an EIN without an SSN in more detail.

Why the online form usually does not work

The IRS online application is built for applicants with a US presence. If your principal place of business is outside the US, you generally apply by an international route instead. The IRS EIN guidance explains the options.

The three international routes

According to the current Form SS-4 instructions:

  • Phone: International applicants can call 267-941-1099. It is not toll-free. Have your completed Form SS-4 ready.
  • Fax: Send the form to 304-707-9471 from outside the US. The IRS generally returns the EIN by fax within about four business days.
  • Mail: Send the form to the IRS EIN International Operation. Allow roughly four weeks or more.

Phone hours are listed in the instructions. Always confirm numbers and addresses there before you send anything, because the IRS can change them.

Form SS-4 tips

  • Form your LLC first. The IRS expects the entity to exist.
  • List an individual as the responsible party, even if a company owns the LLC.
  • If you have no SSN or ITIN, follow the instructions for line 7b exactly.
  • For a single-member LLC, enter one member.
  • Make sure the name matches your state filing letter by letter.

Common mistakes

Most delays come from name mismatches, a missing signature, or an unreadable fax. Submit the form at least four to five weeks before you need the EIN for a bank or a filing.

An EIN does not guarantee a bank account. It also does not replace any tax return.

US Taxes for Foreign-Owned LLCs

This is the part that costs founders the most. Learn the basics of non-resident LLC tax requirements before your first sale. Our detailed guide on foreign-owned LLC tax requirements goes further.

Short answer: Sometimes you owe US income tax, and sometimes you do not. But you may still have to file a return or an information form either way.

Federal tax classification

By default, a single-member LLC is “disregarded” for income tax. Its income passes through to the owner. A multi-member LLC is taxed as a partnership by default. An LLC can also elect corporate treatment with Form 8832. In that case, the federal corporate rate is 21%.

When US income tax applies

The answer depends on the type and source of income. In general:

  • Income from a US trade or business, called effectively connected income, can be taxable in the US.
  • Certain US-source passive income can face withholding.
  • Treaties between the US and your home country may change the result.

Because every founder’s facts differ, a cross-border tax professional should review your case.

The Form 5472 trap

This is the filing foreign owners miss most often. A foreign-owned US single-member LLC is generally treated as a domestic corporation for reporting purposes. As a result, it may need to file Form 5472 with a pro forma Form 1120.

Here is what you should know:

  • Reportable transactions include owner contributions, distributions, loans, and payments between you and the LLC.
  • The filing is required even when no tax is due.
  • The IRS instructions for Form 5472 state a $25,000 penalty for failing to file when required.

Read our Form 5472 and foreign-owned LLCs guide for a closer look. This is the heart of foreign-owned single-member LLC compliance.

State and home-country taxes

Also check state obligations. These can include income tax, sales tax, and licenses, depending on where you operate. Finally, your home country may tax your LLC income regardless of US rules. Founders in Pakistan, India, the UK, and the EU should check local reporting and foreign-exchange rules separately. US formation does not decide your home-country tax treatment.

Next step: Review your obligations with a qualified cross-border tax professional before your first tax year ends.

How to Open a US Business Bank Account From Abroad

Many founders want to open a US business bank account as a non-resident. It is often possible, but approval is never guaranteed. See our guide to US business bank accounts for non-residents for provider-level details.

Documents to prepare

  • Passport and proof of address
  • Formation documents and operating agreement
  • EIN confirmation letter
  • Description of your business activity
  • Expected transaction volumes and source of funds

Why approval is not guaranteed

Banks and payment providers run their own checks. They review your country, your business model, and your documents. In addition, banks have their own duty to collect ownership information under FinCEN’s Customer Due Diligence rule. That duty remains, even though domestic LLCs no longer file BOI reports. So expect ownership questions.

Likewise, a payment processor such as Stripe approves accounts separately from your LLC filing. Eligibility and approval are two different things.

Current BOI Reporting Rules for US LLCs

Older articles tell every LLC to file a Beneficial Ownership Information (BOI) report. That advice is outdated.

On August 11, 2026, FinCEN issued a final rule that permanently exempts domestic entities from BOI reporting. It took effect August 14, 2026. You can read it in the Federal Register and on the FinCEN BOI page.

What this means for you:

  • An LLC formed by filing with a US state is a domestic entity. It does not file a BOI report.
  • Your foreign nationality does not turn a US-formed LLC into a foreign entity.
  • Reporting now applies mainly to entities formed under foreign law that register to do business in the US.

Rules in this area have changed several times. Therefore, check FinCEN’s site again before you rely on this section.

Records and bookkeeping

Keep your LLC finances separate from your personal money. Record every owner contribution and distribution. Those entries feed directly into Form 5472. Missing records are the most common reason foreign owners struggle at filing time.

Should You Use an LLC Formation Service?

You can file yourself. You can also pay a provider. Both routes are valid.

DIY works well if you are comfortable with state websites, IRS forms, and tracking deadlines.

A service helps if you want filing support, a registered agent, and reminders in one place.

Either way, a package does not remove your legal duties. You remain responsible for your taxes and filings. To weigh providers, compare LLC formation services using these criteria. This is the fairest way to choose a US LLC formation service for foreigners.

Question to askWhy it matters
Does it support owners who live abroad? Some services limit international applicants.
Is the state fee included?Fees are often billed separately.
What is the renewal price?First-year discounts can hide higher renewals.
Is EIN help included?Foreign applicants cannot use the online form.
Does it prepare tax forms?Form 5472 is often an extra cost.
Is banking help a guarantee?Usually it is only assistance.
What is the refund policy?Rejections and plan changes happen.

Frequently Asked Questions

Do I need a visa to own a US LLC?

No. Ownership does not require a visa. However, an LLC does not give you a visa or permission to work in the US either.

Do non-resident LLC owners pay US taxes?

Sometimes. The answer depends on income type and source, whether you have a US trade or business, treaty rules, and your LLC’s classification. A state without income tax does not remove federal duties.

Does a foreign-owned single-member LLC need Form 5472?

It may. Reporting applies when the LLC has reportable transactions with its foreign owner. Check the current IRS instructions for your facts.

Can I open a US business bank account from abroad?

Possibly. It depends on the provider, your country, your documents, and your business activity. An LLC and EIN do not guarantee approval.

Does a domestic LLC need to file a BOI report in 2026?

No. Under FinCEN’s final rule effective August 14, 2026, domestic entities are exempt. Certain foreign-formed entities registered in the US may still report.

Do I need to renew my LLC every year?

It depends on the state. Wyoming requires an annual report. Delaware requires an annual tax. New Mexico requires no annual LLC report. Federal tax filings are separate.

Can I run a US LLC from Pakistan or India?

Generally, yes. You can manage the company remotely. Even so, local tax, reporting, and foreign-exchange rules in your country may apply. Check them separately.

What happens if I do not file?

Missing Form 5472 can trigger a $25,000 penalty. Missing a state filing can lead to fees or loss of good standing. Stay current on both.
